What GameSquare bought
The portfolio includes rights and relationships tied to Peaky Blinders, Simon's Cat and 15 global athletes, including The Two Robbies Friends and Ben Stokes. GameSquare took on only the liabilities named in the contribution agreement. These include unpaid trade payables of no more than $25,000 at closing that are not delinquent.
The company says the deal moves it from reaching fans for others to owning and earning from fan relationships directly. FanEngine adds recurring direct-to-fan revenue from rewards, merchandise and commerce, ticketing, live experiences, licensing and brand partnerships. That sits alongside GameSquare's existing services revenue.

What the sellers can still earn
The sellers can receive up to 1,410,218 more shares. The filing puts that at 10% of shares outstanding at closing after the issuance. The shares come in two tranches of 705,109 each. Both are caps, not shares already issued.
The first tranche needs one of two results from the purchased assets in the six months after closing. One is a month of recognized revenue above $3 million. The other is annualized recognized revenue of at least $30 million based on those six months. The second tranche covers months six to eighteen after closing. It needs a month above $6 million or annualized recognized revenue of at least $60 million.
Cash earnouts total up to $50 million, split into two equal caps, one for each period. For the period ending Dec. 31, 2027, the sellers get $0.50 for every $1.00 of earnout net income above $8 million. For the period ending Dec. 31, 2028, the hurdle is higher and the payout rule is the same.
Two sellers join the board
GameSquare raised its board from six directors to eight. It appointed Baccanello and Hugo effective at closing. A seller group that can name one director while it owns 5% or more of the common stock nominated each. Both serve until the 2027 annual meeting unless that right lapses first.
At closing, Baccanello received 843,109 shares and Hugo received 924,701. Anonymous Labs Ltd., in which Hugo holds an equity interest, received 1,087,883. Baccanello can earn up to 218,584 more shares and $7.75 million in cash. Hugo can earn up to 239,737 shares and $8.5 million. Anonymous Labs can earn up to 282,044 shares and $10.0 million.
Why it matters
The closing turns an announced deal into guidance GameSquare now has to deliver. The company reiterated 2027 guidance of over $150 million in revenue, gross margin above 50% and a higher adjusted EBITDA target. It expects FanEngine to help reach a 2026 pro forma outlook of $85+ million in revenue and $5+ million in adjusted EBITDA.
By OptimistFi's calculation, the 2027 floors sit $65 million above the 2026 pro forma revenue floor and $25 million above the adjusted EBITDA floor. That is a steep step up in one year. The earnout revenue triggers apply to the purchased assets alone, not to GameSquare's total.
Management says FanEngine needs little added overhead and should be immediately accretive to adjusted EBITDA. FanEngine has relied on third parties for production, events, commerce and gamification. GameSquare expects to bring that spend in-house.
OptimistFi has argued that GameSquare is a high-risk bet on turning its youth-gaming agency roll-up into a scalable brand-marketing platform. Owning recurring fan-revenue IP adds a scale driver to that bet, so the closing strengthens the case.
The release lists the risks. They are GameSquare's ability to continue as a going concern, dilution from the equity issuance and the chance the earnout milestones are not met. Adjusted EBITDA guidance leaves out transaction costs, impairments and other one-time expenses. The company says projected GAAP net income could be materially less than projected adjusted EBITDA.
What's next
Peaky Blinders is expected to launch in the fourth quarter of 2026. The company expects FanEngine to add to adjusted EBITDA in fourth-quarter results. A launch on schedule and a visible contribution toward the 2026 pro forma outlook would support the case. A slip would weaken it.
The first stock earnout test runs through the six months after closing. The cash earnout periods end Dec. 31, 2027 and Dec. 31, 2028. If the milestones are met, the acquired revenue is real. But the sellers also collect more shares and cash, so holders would see both confirmation and added dilution.
