Applied Materials (NASDAQ: AMAT) moves to lift its Besi stake, but caps it near 20%

What happened

Applied Materials, Inc. (NASDAQ: AMAT) agreed Oct. 26 to lift its stake in BE Semiconductor Industries N.V. (Besi) to approximately 20%. The purchase adds to a holding Applied first made in April 2025.

Applied signed an accelerated share purchase agreement. The shares will be delivered only after the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 expires or ends early. Besi, listed on Euronext Amsterdam under BESI, makes assembly equipment for the semiconductor industry.

Dr. Prabu Raja, president of Applied's Semiconductor Products Group, said hybrid bonding and next-generation interconnect designs are becoming more critical to energy-efficient AI computing. The companies have worked together since 2020, and Besi recently joined Applied's EPIC Center as an Innovation Partner.

The work now goes beyond hybrid bonding into 3D IC scaling, logic and memory integration, thermo-compression bonding and die-on-wafer, die-on-die and die-on-panel integration platforms.

Why it matters

OptimistFi has argued that Applied turns chip spending on advanced logic, memory and AI into durable free cash through differentiated tools and disciplined capital allocation. A larger Besi stake fits that view. It ties Applied to the packaging steps its AI-driven scaling roadmap relies on.

The filing sets limits. Applied views the investment as long term, has no current intention to go beyond that level and does not intend to seek a board seat at Besi. That makes the stake a partnership, not a bid for control.

OptimistFi reads the event as mixed for the case. The technology tie deepens. The stake adds ownership but no say in how Besi is run.

What's next

The next dated test is the end of the Hart-Scott-Rodino waiting period, which governs delivery of the Besi shares. Until then the shares are not delivered.

Clearance would let Applied reach its planned stake and give the packaging partnership financial backing. A long wait would leave that step pending.
