Red Cat Holdings, Inc. (NASDAQ: RCAT) Bids EUR 205M for Steyr Motors

What happened

Red Cat Holdings, Inc. (NASDAQ: RCAT) agreed to bid about EUR 204.8 million in cash for all 5,251,261 shares of Steyr Motors AG (Vienna MTF: 4X0).

Completion requires foreign-investment clearance in Austria, Australia, Italy and the United Kingdom, plus tenders for at least 50% plus one share.

Red Cat Holdings, Inc. (NASDAQ: RCAT) is offering EUR 39 per share. That is a 28.9% premium to the October 16 closing price and a 27.3% premium to the 30-day volume-weighted average price.

The offer period runs through December 18, 2026, subject to extension. B&C Holding Oesterreich GmbH has made an irrevocable commitment covering about 15% of Steyr Motors AG (Vienna MTF: 4X0).

Why it matters

The arithmetic sets the first hurdle. Multiplying 5,251,261 shares by EUR 39 produces EUR 204,799,179 of implied cash consideration. An anchor commitment of about 15% leaves roughly 35 additional percentage points, plus one share, needed to clear the minimum tender condition.

Steyr Motors AG (Vienna MTF: 4X0) builds high-power-density engines for military vehicles, boats and auxiliary power applications. Red Cat Holdings, Inc. (NASDAQ: RCAT) says that technology would support its Blue Ops uncrewed-surface-vessel strategy and add European engineering and manufacturing capacity.

The financial context makes capital discipline central. Red Cat Holdings, Inc. (NASDAQ: RCAT) reported $325.6 million of cash, $527.5 million of assets and $56.3 million of liabilities at June 30. It also reported $20.2 million of second-quarter revenue and a $35.3 million quarterly net loss.

Those figures show liquidity, but they do not prove that the purchase is affordable on attractive terms. The filing calls the offer fully financed without disclosing the debt, equity or other funding mix. Cash on the balance sheet is not the same as cash available for an acquisition.

The bull case is that engines, manufacturing and European access make the maritime-robotics portfolio more complete. The counterargument is that Red Cat Holdings, Inc. (NASDAQ: RCAT) is adding a cross-border integration project before its existing business has demonstrated durable gross margins or positive earnings.

What's next

The next observable tests are the December 18 tender result, the final funding disclosure and the four regulatory approvals, which must arrive by June 30, 2027 unless conditions change.

If the deal closes, investors should compare the acquired revenue, cash flow and integration cost with the EUR 204.8 million offer price. Until then, the transaction remains a conditional capital-allocation proposal rather than evidence of improved operating economics.
