Long Lake closes $6.3 billion Amex GBT buyout

What happened

Global Business Travel Group, Inc. (GBTG) said Long Lake completed its all-cash acquisition of the company, valuing it at approximately $6.3 billion. Under the merger agreement, Amex GBT stockholders received $9.50 per share in cash. The filing says that price was a 65.1% premium to the 30-day VWAP from the date of the merger agreement.

The deal was first announced on May 4, 2026, and stockholders approved it at the Special Meeting of Stockholders on August 3, 2026. Long Lake financed the transaction with equity from its existing investors and Koch Equity Development LLC, plus committed debt financing. Amex GBT common stock has ceased trading and will be delisted from the New York Stock Exchange.

Long Lake's AI engineering will support Amex GBT's travel and service teams to drive more value to customers and redefine the managed travel experience.

Why it matters

OptimistFi's case is that GBTG works if Amex GBT remains the scaled enterprise travel, expense, and meetings platform that large companies still need as travel normalizes. It also depends on turning that volume into higher GAAP profit and cash.

This filing weakens that case for public holders because the stock is gone and the company will operate privately under Long Lake. That matters because it shifts the investment from a listed equity to a private business at the price Long Lake agreed to pay.

The filing's only hard economics are the $6.3 billion valuation, the $9.50 cash payment and the 65.1% premium. Those terms define the exit for shareholders. This is a change in ownership, not an operating update.

The filing changes the baseline from a publicly traded GBTG equity story to private-company ownership. That is the key reading for holders because the stock has ceased trading and the company will operate privately under Long Lake.

What's next

Amex GBT common stock has ceased trading and will be delisted from the New York Stock Exchange.

If the company remains private as stated, the new baseline is ownership under Long Lake rather than a public ticker.

Any delay or reversal would weaken the completed-deal reading.
