Docebo (NASDAQ: DCBO) declares $2.42 special dividend and will borrow to pay it

What happened

Docebo Inc. (NASDAQ: DCBO) declared a one-time cash dividend of approximately $60 million, or $2.42 a share, funded by borrowing.

The dividend is payable Nov. 30 in U.S. dollars to shareholders of record at the close of business on Nov. 16. The money comes from more borrowing under Docebo's existing $150 million credit facility. The company will treat the payout as an eligible dividend for Canadian income tax purposes.

The board weighed Docebo's recurring subscription revenue, expected cash flows, debt payments and near-term needs for organic and acquisition spending. The company says the dividend does not signal a change in its growth priorities. It says shareholders should not expect it to recur.

Why it matters

The payout is larger than the $42.49 million of cash Docebo held on Sept. 30, down from $74.04 million at Dec. 31, 2025. The balance sheet also showed $88.22 million of borrowings on Sept. 30, with none reported at year-end.

Docebo cites improving free cash flow. Its statements report cash from operating activities, which rose 32.8% to $25.88 million in the nine months ended Sept. 30 from $19.48 million a year earlier, by OptimistFi's calculation. The payout is more than twice that nine-month figure.

OptimistFi has argued that Docebo creates value if its platform stays distinct, keeps high gross margins and turns scale into cash. Third-quarter gross margin slipped to 79.3% from 80.3% a year earlier, while revenue rose to $70.33 million from $61.62 million. A debt-funded payout leaves the case mixed.

Because the company says the dividend will not recur, it does not by itself prove lasting excess cash generation.

What's next

Payment on Nov. 30 is the next dated step. The Nov. 16 record date decides who receives it.

Operating cash flow that stays above this year's nine-month pace in Docebo's next quarterly report would support the company's claim of improving cash generation. A weaker pace alongside more borrowing would add to the caution around the payout.
