What happened
Bending Spoons S.p.A. (NASDAQ: BSP) completed its previously announced purchase of Miro on October 26, 2026. It bought 100% of Miro's shares in an all-cash deal. Miro is legally RealTimeBoard, Inc., a Delaware corporation. More than 250,000 organizations use its visual collaboration platform.
At closing, certain former Miro shareholders put about $295 million of their sale proceeds into about 6.2 million new Bending Spoons ordinary shares. The shares were sold in a private placement, so they did not need to be registered under the U.S. Securities Act of 1933.

Why it matters
The reinvestment returns about $295 million of the sale proceeds to Bending Spoons as new equity. It also makes some former Miro owners Bending Spoons shareholders, with a stake in how the combined company performs.
Miro has more than 100 million users. It joins main businesses that include Airtable, AOL, Brightcove, Eventbrite, Evernote, Tractive, Vimeo and WeTransfer. Bending Spoons says it buys digital businesses, transforms them to grow earnings and reinvests in more acquisitions. It says it has never sold a material business.
Chief executive Luca Ferrari said the company will use Bending Spoons technologies and expertise to make Miro more useful to customers and support its growth.
The outlook Bending Spoons gave on August 13, 2026, covered only businesses it owned as of August 12, 2026. It excluded Miro. So current guidance includes nothing from Miro, and any payoff from the deal is still an expectation. The company lists risks tied to the deal, including disruption to current plans, employee retention and management distraction.

What's next
Bending Spoons expects to add Miro to its outlook when it next reports financial results. That will be the first company forecast that includes Miro.
A higher outlook with Miro included would support the case for the deal. A flat outlook, or signs of the disruption the company lists as a risk, would weaken it.
