What happened
Meta Platforms, Inc. (NASDAQ: META) plans to give existing owners one new nonvoting Class C share for each Class A or B share they hold. Announced October 21, the dividend would leave their current voting power unchanged and would not raise cash for the company.
The plan depends on an amended charter targeted to take effect January 19, 2027. Meta Platforms, Inc. (NASDAQ: META) has not set the dividend's record or payment date. Its Class A shares would remain listed on Nasdaq, while Class C would require a separate listing.

Why it matters
The preliminary Schedule 14C shows how concentrated the approval was. Holders of 315,826,951 Class B shares, controlling 56.1% of votes, approved the charter by written consent on October 20. A broader shareholder vote is not required. The one-for-one dividend then goes to all current Class A and B holders, preserving their relative economic interests and votes while bringing in no outside cash.
Financing comes afterward, if at all. The board says Class C could raise capital, compensate employees or pay for acquisitions while preserving control. A later sale or grant to new holders could dilute existing owners' economic interest without adding votes for the recipients. No issuance or price was announced.
That option matters because Meta Platforms, Inc. (NASDAQ: META) reported $34.91 billion of third-quarter capital spending, including finance-lease principal, and negative $2.12 billion of free cash flow. Yet it held $82.45 billion in cash and marketable securities at September 30. The share class does not prove outside financing is needed or that AI investment will pay off.

What's next
Watch for the charter to become effective, dividend dates and a Nasdaq decision on Class C listing. The one-for-one distribution is contingent, not completed.
The more consequential test is any later Class C issuance: how many shares, at what price and for what return. Until those terms exist, the plan adds financing flexibility, not established dilution or funding proceeds.
