What happened
Dreamland Ltd (NASDAQ: TDIC) said Wai Yue Seto bought 300,000 Class A ordinary shares on 2026-10-09. Seto is the chief executive officer, a director and a 10% owner. The shares cost $2.00 each, or about $600,000, in a private placement. The form is dated 2026-10-14.
The same securities purchase agreement covered 300,000 warrants, each exercisable for four Class A ordinary shares at $0.01 per underlying warrant share. Those warrants were concurrently exercised into 1,200,000 Class A ordinary shares, which Table I reflects. After the share purchase, Seto held 1,369,890 shares. Table I then shows 2,569,890 shares beneficially owned after the reported transactions.

Why it matters
OptimistFi calculates the 300,000-share buy was about 28.0% of Seto's pre-trade holding, based on 1,069,890 shares before the trade. That makes the purchase a meaningful addition to an already large insider stake. The filing is still mixed for the investment case because it changes ownership, not Dreamland's operating results.
The warrant exercise adds another 1,200,000 shares, but it does not test whether FY2025 revenue growth is repeatable or cash-collecting. OptimistFi's case is that Dreamland is investable only if that step-up proves to be repeatable management-services demand rather than one-off, low-margin project work. Both legs also came from the same private placement.

What's next
The next scheduled check in the evidence is Dreamland Ltd's next quarterly report. A report that shows repeatable management-services demand and cash collection would strengthen the case. A report that points back to one-off, low-margin project work would weaken it. If the step-up holds, the ownership change still serves mainly as a baseline for the next report.
Until then, the filing mainly establishes a larger insider position and a new ownership baseline for following Seto's stake. It gives investors a clean before-and-after ownership marker, but it does not resolve the revenue-quality question the investment case depends on. That is the part of the story investors still need the next report to answer.
