What happened
Flex Ltd. (NASDAQ: FLEX) completed its acquisition of EPC Power on October 14, 2026. EPC Power is now part of Flex's Cloud and Power Infrastructure segment. The purchase price was $4.4 billion in cash, subject to customary adjustments. Flex said it funded the consideration with borrowings under its Credit Facility, borrowings under its Bridge Credit Facility and cash on hand.
On October 14, 2026, Flex borrowed $3.3 billion under the Credit Facility and $1.1 billion under the Bridge Credit Facility in single advances. The bridge loan matures on October 13, 2027. The company said the bridge facility bears a floating rate tied to Term SOFR or the Base Rate, plus an applicable margin.

Why it matters
OptimistFi's case is that Flex works if its manufacturing role keeps shifting away from commoditized assembly and toward complex outsourced programs that expand margins and cash flow through the cycle. This filing supports that view by adding EPC Power's intelligent power conversion, grid-forming, cooling and compute capabilities to the Cloud and Power Infrastructure business. Flex said EPC Power supports grid stabilization and backup power, and is engineered for next-generation 800V data center power architectures.
The term borrowing was 3.0x the bridge advance. The main caution is that Flex also plans to separate Cloud and Power Infrastructure into Axiom Solutions International, Inc. in the first calendar quarter of 2027. Axiom's $2.0 billion preferred investment still depends on the HSR waiting period and other required regulatory approvals.

What's next
Flex plans to separate Cloud and Power Infrastructure into Axiom Solutions International, Inc. in the first calendar quarter of 2027. Axiom's preferred investment covers 200,000 shares of Series A Convertible Preferred Stock at $10,000 a share for an aggregate $2.0 billion. If that financing closes, Axiom expects to use the net proceeds to repay borrowings incurred in connection with the transaction, while the bridge loan matures on October 13, 2027.
