Nuvve (NVVE) cuts warrant price to $1.00 as investors exercise

What happened

Nuvve Holding Corp. (NVVE) said on September 26, 2026, that it cut the AIR warrant exercise price to $1.00 and removed the floor price. The change applies to the outstanding AIR warrants for the rest of each warrant's term. Investors then exercised 253,954 AIR warrants for 253,954 shares of common stock. The company said the exercises brought in about $253,954 in gross proceeds.

The purchase agreement gave investors the right to buy up to $12.5 million of additional notes and warrants. The filing says the resale of shares issued on exercise has been registered under the company's effective Form S-1.

It also says certain investors had already used the additional investment right in May 2025, September 2025, November 2025 and December 2025. The purchase agreement was first signed on October 31, 2024, with certain accredited institutional and individual investors. Nuvve filed the report on October 6, 2026. The change was made under the terms of the outstanding AIR warrants.

Why it matters

OptimistFi's case is that Nuvve is a distressed option on vehicle-to-grid adoption, so any cash raised through financing matters.

The company used about 2.0% of the up to $12.5 million available under the additional investment right. Even so, the filing shows only about $253,954 of gross proceeds.

What's next

The remaining AIR warrants still carry a $1.00 exercise price and no floor for the rest of their term. More exercises would bring in more cash at that price. If holders keep exercising, the company gets more cash without changing the $1.00 price.

The same right has already been used in earlier 2025 exercise periods. The effective Form S-1 already covers resale of the shares issued on exercise. Each new exercise would add another $1.00 of gross proceeds per warrant. The filing ties the cash gain to warrant exercises, not operations. A pause would limit the benefit.
