La Rosa Holdings (NASDAQ: LRHC) acquires NVIDIA GPUs, names Adler CEO

What happened

La Rosa Holdings Corp. (NASDAQ: LRHC) said on October 1, 2026, that it acquired NVIDIA B300 GPUs and named Nicholas Adler CEO and interim CFO. It said the GPUs were leased back under a long-term deal expected to bring in recurring cash flow. The company also said it will review strategic alternatives for its real estate operations, including a possible divestiture.

Joseph La Rosa resigned as CEO and interim CFO effective October 1, 2026. He will stay on the board as director of real estate operations. The related 8-K also said the company completed the initial contribution closing on September 30, 2026.

Why it matters

OptimistFi's case is that LRHC needs recurring revenue and operating leverage before financing needs overwhelm shareholders. The lease raises monthly rent by $63,000, from $94,167 to $157,167, over the 32-month term. It also includes a $150,000 purchase option due May 2, 2029. The company issued 3,410 shares of Series F Convertible Preferred Stock in exchange for $1.5 million principal of its $11 million senior secured convertible note.

It also swapped all 100 Series C shares, all 500 Series D shares and all 810 Series E shares. Series F has an 8.0% dividend and an initial conversion price of $3.29. It ranks senior to common stock. The filing also says 500 Series F shares settled $5.69 million of tokens, with 5,500 more shares possible if the extra settlement trigger is met.

Until stockholder approval is effective, conversions also remain subject to the Exchange Cap and a 9.99% beneficial ownership cap.

What's next

The company said it obtained stockholder approval by written consent on September 30, 2026 and plans to make the required SEC filings promptly. The GPU contribution deal issued 3,000 more Series F shares at the initial closing. Another 4,000 shares are due if gross rental income from the contributed GPUs reaches $350,000. The Contribution and Purchase Agreement also allows more GPU contributions and share purchases at $1,000 per share, up to 25,000 additional shares.

Those rights run through the second anniversary of the initial contribution closing. If rental income and follow-on closings happen, the AI shift looks more durable. If they do not, the filing still shows an early and heavily diluted pivot.
