Why it matters

Silgan said annual net sales were about $6.5 billion in 2025.

The deal creates a larger metal packaging platform while leaving Silgan with majority ownership and its dispensing businesses intact.

Silgan says the new structure gives it more financial flexibility for the faster-growing dispensing business and a path to future separation.

OptimistFi's comparison shows the Trivium purchase at 7.1x LTM Jun-26 Adjusted EBITDA, 2.3x above the 4.8x multiple including expected synergies.

That gap matters because the filing says the combined business should realize $225 million of synergies by year 3.

Silgan also said it expects at least 15% anticipated Adj. EPS accretion and at least 15% anticipated FCF accretion, excluding purchase accounting.

The main caveat is that those figures are estimates, and the deal still needs approvals before closing.

Silgan said its Dispensing Solutions business will stay wholly owned.

What's next

The next dated milestone is the estimated mid-2027 close.

If approvals move ahead, that would support the deal case. A delay would push the separation path and synergy timeline further out.

Investors will also watch whether the expected synergies and accretion figures hold after closing.

Those results would support the case for the new capital structure.
