What happened
On October 13, 2026, Ocugen, Inc. (NASDAQ: OCGN) signed an exclusive license agreement with Roots Pharmaceutical Company WLL.
The deal covers OCU400 in the Middle East and North Africa for retinitis pigmentosa.
Ocugen said it will keep the global safety database and will manufacture and supply OCU400 under a related commercial supply agreement.
Under the license, Ocugen will receive an up-front license fee and initial development milestone payments of up to $4 million in total.
It can also collect sales milestone payments of up to $255 million and royalties of 22% of net sales from Roots.
On October 14, 2026, the board postponed the special meeting to December 22, 2026.
It set October 30, 2026 as the new record date for the proposal to increase authorized common stock by 250,000,000 shares.

Why it matters
The deal gives Ocugen a regional commercial path for OCU400 in MENA, which the company says is its novel modifier gene therapy for retinitis pigmentosa.
Ocugen says RP prevalence in the Middle East and North Africa is estimated at 10 to 20 times higher than in the U.S. and EU.
Roots will have sole control over regulatory submissions and communications with authorities in the territory.
OptimistFi calculates that the sales milestone cap is 63.75 times the up-front and initial development payment cap.
That means most of the economic value depends on future development, approval and sales, not the up-front payment.
The larger payments still depend on future development, approval and sales, and the Phase 3 liMeliGhT topline data readout is expected in the first quarter of 2027.

What's next
Ocugen says topline data from the liMeliGhT Phase 3 trial is expected in the first quarter of 2027.
Global regulatory submissions are next, including a Biologics License Application in the U.S. and a Marketing Authorization Application in Europe.
Stockholders are now set to vote on December 22, 2026 at 8:00 am Eastern Time, with October 30, 2026 as the new record date.
A yes vote would strengthen the financing side of the investment case, while a no vote would weaken it.
