Valaris Limited (NYSE: VAL) Clears Brazil Review for Transocean Deal

What happened

Valaris Limited (NYSE: VAL) said Brazil cleared its planned combination with Transocean Ltd. (NYSE: RIG) without restrictions. The decision removes the final identified regulatory approval condition once it becomes final.

Publication in Brazil's official journal is expected on October 15 or October 16. A 15-day waiting period starts after publication.

The companies still expect to close in the fourth quarter, subject to remaining conditions. Shareholder approvals, a Bermuda court order, and other transaction steps are still required.

Each eligible share of Valaris Limited (NYSE: VAL) would convert into 15.235 shares of Transocean Ltd. (NYSE: RIG). The exchange ratio is fixed before closing.

Why it matters

The ruling reduces deal-completion risk because the filing says all regulatory approval conditions will be satisfied when the Brazilian decision becomes final.

The joint proxy estimates current shareholders of Transocean Ltd. (NYSE: RIG) will own 53% of the combined company. Current shareholders of Valaris Limited (NYSE: VAL) would own 47%, a six-point difference.

The fixed ratio makes the market exposure measurable before closing. A $1 change in shares of Transocean Ltd. (NYSE: RIG) changes the implied consideration for each share of Valaris Limited (NYSE: VAL) by $15.235, even after the regulatory risk has fallen.

The standing case depends on offshore drilling cash flow surviving a cyclical market. A larger combined fleet may improve scale, but it also joins two capital-intensive balance sheets.

The counterargument is that regulatory clearance does not complete the merger. The fixed share ratio also leaves the value received by shareholders exposed to the market price of Transocean Ltd. (NYSE: RIG).

What's next

Watch official-journal publication, the end of the waiting period, both shareholder votes, and the Bermuda court process. Those events will determine whether the fourth-quarter closing target remains credible.

After closing, investors need evidence on integration, fleet utilization, debt, and free cash flow. Today's filing reduces one risk, but it does not prove the combined company will create value.
