Telomir (NASDAQ: TELO) secures $5.6 million PIPE as DeJoria adds capital

What happened

Telomir Pharmaceuticals, Inc. (NASDAQ: TELO) closed an approximately $5.6 million PIPE and said existing significant shareholder John Paul DeJoria added $1.0 million. The closing occurred on October 5, 2026, when the company agreed to issue 4,843,300 shares of common stock at $1.16 each. That price was a 5% discount to the applicable 10-day VWAP, and the securities were only common stock.

Telomir said other existing shareholders and new investors also participated, and the gross proceeds are before fees and other offering expenses. The company said it plans to use the proceeds for Telomir-Zn clinical development, working capital and general corporate purposes. The company said the FDA cleared Telomir-Zn's IND for a first-in-human Phase 1/2 trial in advanced or metastatic triple-negative breast cancer. The Phase 1 portion is designed to assess safety, tolerability, dose selection, biomarkers and preliminary antitumor activity.

Why it matters

OptimistFi's case is that TELO needs credible clinical or regulatory progress before cash burn forces punitive financing. This financing funds the next development step, but it still shows reliance on equity. DeJoria's $1.0 million contribution equals about 17.9% of the gross proceeds, so the anchor check is material but not decisive.

Telomir also said the cash placement-agent fee payable to Alexander Capital was approximately $455,000, which adds another financing cost. The financing also came without investor warrants or convertible securities. The filing still shows only an approximately $5.6 million raise before expenses, so it does not remove financing risk.

What's next

Telomir said it will file a registration statement with the SEC within 30 days of the October 5 closing to cover resale of the shares. Meeting that deadline would show the transaction is moving on the timetable the company disclosed, while a delay would weaken that execution signal. The clinical program remains the broader test, because the new money is earmarked for Telomir-Zn development and working capital.
