iRhythm (NASDAQ: IRTC) closes Vital Connect buy for $237.5 million

What happened

On October 5, 2026, iRhythm Holdings, Inc. (NASDAQ: IRTC) said it completed its previously announced acquisition of Vital Connect, Inc. The buyer was iRhythm Technologies, Inc., iRhythm's direct wholly owned subsidiary.

Vital Connect is now a wholly owned subsidiary of that unit and an indirect subsidiary of iRhythm Holdings, Inc. The purchase included $237.5 million in cash, subject to customary adjustments and funded from iRhythm's balance sheet, plus up to 423,334 shares at closing. iRhythm also provided $10.0 million of working capital funding to Vital Connect between signing and closing.

Why it matters

OptimistFi's case is that iRhythm can create value if Zio stays a clinically trusted, reimbursed, end-to-end cardiac monitoring workflow that turns test volume into high gross profit and eventually durable GAAP profitability. The press release says the acquisition expands iRhythm's ambulatory cardiac monitoring capabilities, including mobile cardiac telemetry, and broadens the portfolio across ambulatory, inpatient and hospital-to-home care.

It also says the deal is expected to lift iRhythm's revenue growth rate starting in 2027 while keeping its 15% adjusted EBITDA margin target for 2027.

Vital Connect's platform offers up to 30-day patient monitoring, four-in-one functionality, flexible service models and live look-in. It can also monitor up to 11 physiological parameters. iRhythm said the combination is meant to serve different customer workflows and clinician and patient needs. The release says iRhythm's commercial scale, health system relationships, market access expertise and integrated clinical service capabilities are expected to speed Vital Connect's growth and widen customer access.

By OptimistFi's calculation, the $10.0 million working capital funding is about 4.2% of the $237.5 million cash purchase consideration. The cash payment is still the main part of the deal, while the equity piece can reach up to 423,334 shares. The release says the expected benefits depend on successful integration and cites risks including business disruption, reimbursement, competition or regulation, product delays, and loss of key employees, customers or partners.

What's next

iRhythm said it will provide updated 2026 financial guidance, including Vital Connect, during its third quarter earnings call on November 5, 2026. That update will be the next dated check on whether the deal changes the growth outlook while keeping the 15% adjusted EBITDA margin target in view.
