
Outdoor (NASDAQ:POWW) stockholders approved the company’s proposed re-domestication from Delaware to Texas and elected five directors at the company’s 2026 annual meeting, held in a virtual format.
Steve Urvan, Outdoor’s Chief Executive Officer and chairman of the board, chaired the meeting. Jordan Christensen, the company’s Chief Legal Officer and Corporate Secretary, served as secretary.
Christensen said that 116,060,931 shares of common stock were eligible to vote as of the Aug. 17, 2026 record date, with each share carrying one vote. Notice of the annual meeting was mailed to stockholders of record on or about Sept. 4, 2026.
Directors Elected, Auditor Ratified
Stockholders elected all five director nominees named in the company’s proxy statement:
- Steve Urvan
- Houman Akhavan
- David Douglas
- Christos Tsentas
- Wayne Walker
No other stockholder nominations were submitted, according to the meeting remarks.
Investors also ratified the appointment of Grant Thornton LLP as Outdoor’s independent registered public accounting firm for the fiscal year ending March 31, 2027.
Texas Conversion Approved
The company’s re-domestication proposal, which provides for Outdoor’s conversion from a Delaware corporation to a Texas corporation, was approved by stockholders. The proposal included the plan of conversion attached to the company’s proxy statement.
Before the formal vote was closed, Christensen said preliminary results indicated that the company had already received the required number of votes in favor of the re-domestication proposal.
As a result, the company did not need to act on a separate proposal that would have allowed the meeting to be adjourned to solicit additional proxies if there had been insufficient support for the conversion.
Final Results to Be Filed
Christensen reported that, based on the preliminary report from the inspector of election, each director nominee was elected, Grant Thornton’s appointment was ratified and the re-domestication proposal was approved.
Outdoor said it will disclose final voting results in a Current Report on Form 8-K to be filed with the U.S. Securities and Exchange Commission within four business days of the meeting.
