Beeline Q2 Earnings Call Highlights

Beeline (NASDAQ:BLNE) reported second-quarter 2026 revenue growth and lower sequential losses as the mortgage lender shifted its product mix toward higher-margin non-qualified mortgage offerings, reduced expenses and completed its acquisition of AI technology provider MagicBlocks.

Total net revenue rose 57% year over year to $2.6 million, compared with $1.7 million in the prior-year quarter. Revenue was down about 3% sequentially from the first quarter, though originated loan volume declined about 17% over that period, which management said reflected stronger revenue per origination and an improved loan mix.

Chief Executive Officer Nick Liuzza said the company’s strategy is to increase revenue per transaction, limit incremental operating costs and reduce reliance on the traditional mortgage cycle. Liuzza also said he personally invested an additional $500,000 in Beeline, through a convertible investment expected to convert into common stock at a minimum price of $1.50 per share.

Product Mix Shifts Toward Non-QM Loans

Chief Operating Officer Jess Kennedy said Beeline’s closed lending units increased 28% from a year earlier and were up 68% for the first six months of 2026. Revenue growth outpaced unit growth during the quarter, which Kennedy attributed to a deliberate shift toward bank statement and debt-service-coverage-ratio, or DSCR, loans.

Conventional loans represented about one-third of closed units in the first quarter but fell to approximately 20% in the second quarter, Kennedy said. Meanwhile, bank statement loan volume nearly tripled. DSCR loans remained Beeline’s largest product category and maintained stable margins.

Beeline pulled back marketing spending on conventional loan products where returns were less attractive and increased its focus on non-QM products. Overall margin improved 10% from the first quarter to the second quarter, while revenue per loan increased 4% sequentially. Kennedy said July margins reached a company record, primarily due to the change in product mix.

Kennedy said the company is also adjusting workflows for non-QM loans to reduce third-party expenses and plans to expand AI-supported processes in underwriting, document handling and closing coordination.

Expenses and Losses Improve Sequentially

Total operating expenses were $7.1 million, compared with $5.6 million in the second quarter of 2025. The expense total included $1.1 million in stock-based compensation and $806,000 in depreciation and amortization.

Chief Financial Officer Chris Moe said the year-over-year increase in expenses was driven primarily by stock compensation, commissions related to higher loan activity, marketing, investor fees and software costs. However, operating expenses declined $748,000, or about 10%, from the first quarter. Excluding stock-based compensation, expenses fell about 12% sequentially.

The company’s operating loss was $4.5 million, compared with $3.9 million a year earlier, but improved by $677,000 from the first quarter. Net loss was $4 million, versus $4.1 million in the prior-year quarter, and narrowed by $1.2 million, or 24%, sequentially.

The quarter’s net loss included a $480,000 non-cash gain related to the remeasurement of Beeline’s previously held interest in MagicBlocks. Adjusted EBITDA was a loss of $2.6 million, improving from a $2.8 million loss a year earlier and improving by $412,000 from the first quarter.

MagicBlocks Acquisition and TYTL Proposal

Beeline completed its acquisition of the remaining 52.4% interest in MagicBlocks on June 30. The purchase price was valued at approximately $638,000. Since the transaction closed on the final day of the quarter, MagicBlocks’ operating results were not included in second-quarter results and will begin to be consolidated in the third quarter.

Management said MagicBlocks provides AI-driven sales and workflow capabilities that are already used in Beeline’s customer acquisition and conversion processes. The company intends to deploy the technology more broadly across applications, underwriting support, document handling and back-office workflows to improve conversion rates and lower customer acquisition and production costs.

Subsequent to quarter-end, Beeline announced a non-binding letter of intent to acquire TYTL Corp. in an all-stock transaction. TYTL supplies the infrastructure underlying Beeline Equity, the company’s fractional home-equity offering.

Liuzza said a TYTL transaction could generate about three times the revenue of a traditional Beeline mortgage transaction. The proposed combination remains subject to due diligence, definitive agreements, a valuation analysis, fairness opinion and shareholder approval.

Management said TYTL’s structure would retain Regulation D digital securities equal to roughly 5% of each transaction, potentially creating a portfolio of securities backed by ownership interests in residential real estate. The company said it is engaging an investment banker to assist with institutional sales of TYTL digital securities to fund transactions.

Liquidity and Priorities

As of June 30, Beeline held $1.4 million in cash and cash equivalents, $73,000 of restricted cash and $10.8 million of mortgage loans held for sale. Warehouse lines of credit and accrued interest totaled $10.4 million, while shareholders’ equity was $50.5 million.

For the first six months of 2026, net cash used in operating activities was $1.5 million, compared with $5.6 million in the prior-year period. Moe cautioned that the company’s approximately $2.2 million of positive operating cash flow during the second quarter was materially affected by working-capital timing and should not be treated as a normalized cash-burn rate.

After quarter-end, Beeline issued a $350,000 principal amount promissory note, reported at about $300,000 net of an original issue discount, bearing 9% interest and maturing in 60 days. The company also received $500,000 from its largest shareholder in exchange for a convertible note.

Management said its priorities for the second half include protecting margins, expanding non-QM and equity-focused products, integrating MagicBlocks, reducing cash use and pursuing the proposed TYTL transaction. The company did not provide formal financial guidance.
