
8X8 (NASDAQ:EGHT) stockholders approved all four proposals presented at the company’s 2026 annual meeting, including the election of eight directors, executive compensation on an advisory basis, the appointment of Grant Thornton LLP as independent auditor, and an expansion of the company’s equity incentive plan.
The virtual meeting had a quorum, according to Chief Legal Officer Laurence Denny, who also served as secretary and inspector of elections. Proxies were received for 113.6 million of the company’s approximately 141.8 million outstanding common shares, representing about 80.09% of shares outstanding.

Executive Pay and Auditor Appointment Approved
Investors also approved, on a non-binding advisory basis, the fiscal 2027 compensation of the company’s named executive officers as described in its proxy statement.
In addition, stockholders ratified the selection of Grant Thornton LLP as 8×8’s independent auditor for the fiscal year ending March 31, 2027. Chris Morgan, a partner at Grant Thornton LLP, joined company representatives and board members at the meeting.
Equity Plan Expansion Authorized
Stockholders approved an amendment to 8×8’s amended and restated 2022 Equity Incentive Plan. The amendment increases the number of common shares available for issuance under the plan by 8,338,000 shares.
No questions related to the proposals were submitted during the meeting, according to Kate Patterson, 8×8’s head of investor relations. The polls closed at 9:07 a.m. Pacific time, and Denny reported that each proposal had been approved.
The company said it will publish a complete vote tally in a Form 8-K filing with the Securities and Exchange Commission within four business days of the meeting date.
