
GlobalFoundries (NASDAQ:GFS) shareholders elected three Class II directors and ratified the appointment of PricewaterhouseCoopers LLP as the company’s independent registered public accounting firm for 2026 at the company’s annual general meeting.
Executive Chairman Thomas Caulfield presided over the meeting, which included formal votes on the director slate and the company’s auditor. The meeting was subsequently adjourned following the completion of the voting process.
Quorum Exceeds 96%
That level of participation established a quorum for shareholders to transact business at the meeting. Louis D. Larson of Broadridge Financial Solutions served as inspector of elections.
Azar also said the company had provided the shareholder list as of the June 1, 2026 record date, along with an affidavit regarding distribution of the annual meeting notice and proxy materials around June 15.
Three Directors Elected
Shareholders voted to elect David Kerko, Jack Lazar and Carlos Obeid as Class II directors. Each will serve a three-year term and continue in office until a successor is elected and qualified.
The company’s management and board had recommended the election of all three nominees.
Martin L. Edelman did not stand for re-election, and his term as a director expired at the conclusion of the meeting. Azar thanked Edelman on behalf of the company for his “dedicated service and valuable contributions” to GlobalFoundries.
PwC Appointment Ratified
Shareholders also ratified the appointment of PricewaterhouseCoopers LLP as GlobalFoundries’ independent registered public accounting firm for the fiscal year ending Dec. 31, 2026.
Azar said the preliminary results showed that an affirmative majority of votes cast supported both the director elections and the auditor ratification. Final voting tabulations will be included in the meeting minutes.
Following the formal meeting, the company opened a brief shareholder question-and-answer period. No further questions were raised before the event concluded.
